Our experience in corporate advisory services qualifies us in order to determine the type of corporation the business requires in order to best meet the client’s needs, as well as the drafting of corporate bylaws and all other necessary or advisable documents, whether ordinary or special, related to the incorporation thereof, such as powers of attorney, integration of the Board of Directors, etc.
In case our client requires procedural services for the incorporation of corporations, we can provide advice of a long list Notary Publics in the Federal District and the Mexican Republic, and we are able to request, before Administrative Authorities, all matters related to registries, authorizations, permits and licenses required by the corporation for an appropriate and successful commencement of operations.
Advisory and representation services for the acquisition, sale, merger, spin-off and transformation of corporations:
We provide advice to our clients for the sale, merger and acquisition of corporations. We directly participate in all the negotiations conducted for such purposes on the part of our clients. Our firm is highly qualified for the drafting of agreements, Board Meeting minutes, minutes of ordinary and extraordinary Shareholders’ Meetings, granting of powers of attorney and other documents which could be required for the implementation of transactions.
Safekeeping and care of corporate books:
Our firm coordinates the duties of the secretary of the board, preparing minutes of board meetings and shareholders’ meetings, as well as the emission of provisional share certificates, recording in the corporate books, all the corporate movements of the corporations in order to provide our clients with the added value of their businesses and complying with the provisions established by the applicable Mexican laws and regulations in order to operate legally and thus avoid administrative fines and sanctions.
